Melgab Media Services – Terms & Conditions
These Terms & Conditions govern the supply of website design, hosting, maintenance, SEO and related services (the “Services”) by Melgab Media Ltd (“Melgab Media”) to the customer (“Client”).
By instructing Melgab Media to provide services, or by continuing to use the Services, the Client agrees to be bound by this Agreement.
1. Scope of Services
Melgab Media provides website design, hosting, maintenance and related digital services as outlined in the Client’s proposal or agreed package.
Services may include, but are not limited to:
- Website design and development
- Website hosting and infrastructure
- SSL security and server management
- Installation and maintenance of website software and plug-ins
- Search engine optimisation (SEO)
- Technical support and system updates
- Domain registration or management (where applicable)
Any additional features, functionality, integrations, third-party services or bespoke development not included in the original proposal may incur additional charges.
2. Multiple Websites
Where the Client operates more than one website or domain under the Services provided by Melgab Media, those websites may be covered by a single billing arrangement or subscription.
For operational purposes each website may be managed internally as a separate project or case within Melgab Media’s systems. All such websites remain subject to these Terms & Conditions.
Where a subscription covers multiple websites or services, Melgab Media reserves the right to adjust the subscription fee if one or more services are cancelled or removed.
3. Hosting & Website Management
Melgab Media provides hosting and management services for websites supplied under this Agreement. Hosting services may include server infrastructure, backups, software updates, security patches and routine maintenance tasks.
Melgab Media may perform updates, maintenance or security work where necessary to maintain the stability, security or performance of the hosting platform. Temporary service interruptions may occur during such maintenance.
Melgab Media may utilise third-party infrastructure providers or software platforms to deliver the Services.
4. Domains
Domain names may either be registered and managed by Melgab Media on behalf of the Client, or remain under the Client’s own registrar account and be configured to point to Melgab Media’s hosting services.
Where the Client retains control of the domain name, the Client remains responsible for ensuring that domain registration remains active and that DNS settings are correctly configured.
Melgab Media cannot be held responsible for service disruption resulting from domain expiry, registrar issues or incorrect DNS configuration outside of its control.
5. Fees & Payments
The Client agrees to pay the agreed setup fee (if applicable) prior to the commencement of website design or development work.
Ongoing services are typically billed monthly via Direct Debit or other agreed payment method.
Where a payment cannot be collected, Melgab Media may attempt to collect the payment again. Continued failure to make payment may result in temporary suspension of the website or associated services until payment is brought up to date.
Melgab Media reserves the right to review service pricing periodically. Monthly service fees may increase to reflect inflation, supplier costs, software licensing costs or other material increases in operating costs. Reasonable notice will be provided where possible.
6. Client Responsibilities
The Client is responsible for ensuring that all content provided for use on their website is lawful and that any necessary copyright permissions, licences or approvals have been obtained.
The Client agrees not to upload or distribute content that is unlawful, infringing, defamatory or otherwise inappropriate.
The Client agrees to provide timely information, content or access required to complete the Services.
7. Email, Security & Acceptable Use
The Client is responsible for maintaining the security of login credentials associated with their website, email accounts or control panels. Strong passwords and appropriate account security practices must be used.
If Melgab Media reasonably believes that an account has been compromised, is distributing malware, or is sending spam, Melgab Media may temporarily suspend or restrict access to the affected service while the issue is investigated and resolved.
Melgab Media shall not be responsible for disruption, blacklisting or service interruptions resulting from compromised accounts, weak passwords or unauthorised access by third parties.
Melgab Media’s email systems are intended primarily for normal business correspondence and operational website communications.
Bulk marketing campaigns or high-volume email distribution must be sent using dedicated mailing platforms designed for such activity. Use of Melgab Media’s hosting infrastructure for bulk or unsolicited email distribution is not permitted.
Melgab Media reserves the right to suspend or restrict any email account that generates excessive traffic, spam complaints or behaviour that could harm the reputation of the hosting infrastructure.
8. SEO Services
Where search engine optimisation services are provided, Melgab Media will make reasonable efforts to improve the search engine visibility of the Client’s website.
However search engine rankings and traffic levels cannot be guaranteed, as these depend on factors outside Melgab Media’s control including search engine algorithms, competition and market conditions.
SEO is an ongoing process and results may take time to become visible.
9. Support & Maintenance
Routine maintenance includes software updates, security updates and other standard tasks required to maintain website functionality.
Requests for support, changes or updates should be submitted through Melgab Media’s designated support system or customer portal.
Melgab Media cannot guarantee that requests submitted through other channels will be received or acted upon.
10. Term & Termination
This Agreement typically runs for a minimum term of twelve (12) months unless otherwise stated in the Client’s proposal.
After the minimum term, the agreement continues on a rolling monthly basis until terminated by either party with at least thirty (30) days’ written notice.
Melgab Media may suspend or terminate services immediately where the Client breaches these Terms & Conditions or fails to make payment.
11. Intellectual Property
Website designs, graphics, branding elements and other creative assets produced by Melgab Media remain the property of Melgab Media unless otherwise agreed in writing.
Such assets must not be reused, copied or transferred to another website or provider without permission.
12. Limitation of Liability
Melgab Media shall not be liable for indirect or consequential losses including loss of profit, loss of revenue, loss of business or loss of anticipated savings.
Melgab Media’s total liability arising out of or in connection with the Services shall not exceed the total fees paid by the Client to Melgab Media in the twelve (12) months preceding the event giving rise to the claim.
Nothing in this Agreement shall limit or exclude liability where such limitation or exclusion is not permitted under UK law.
13. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the Services.
14. Amendments
Melgab Media may update these Terms & Conditions from time to time. Where significant updates are made, Clients may be required to accept the updated version through the customer portal before services continue.
15. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the United Kingdom.
